End User License Agreement (EULA)

1. Grant of License

BoostWorkLab grants you a non-exclusive, non-transferable, non-sublicensable, revocable, and limited license to install, execute, and use CoordiPro on compatible workstations owned, leased, or controlled by you, strictly in accordance with this EULA and your purchased license seat allocation (or within the 30-day free trial described in Section 2).

2. Trial, Subscriptions & Term

1. Free Trial: You may evaluate the Software with all features, free of charge, for 30 days on each computer. The trial is for evaluation only; you shall not reset, extend, or otherwise circumvent the trial period.
2. Subscription Plans: Continued use after the trial requires a paid subscription. Subscriptions are offered as a monthly single-user plan, a yearly single-user plan, and a yearly team plan. Each plan allows activation on the number of computers (“seats”) stated for that plan at the time of purchase. You may move a seat to another computer by deactivating the license on the old computer first.
3. Purchase & Billing: Subscriptions are sold by BoostWorkLab through Lemon Squeezy, which acts as our reseller and Merchant of Record and handles payment, taxes, invoices, and refunds. Subscriptions renew automatically at the end of each billing period until cancelled. Refunds are governed by Lemon Squeezy's refund policy; termination of your license does not independently entitle you to a refund from BoostWorkLab.
4. Managing & Cancelling: You can change or cancel your subscription at any time in the customer portal at boostworklab.lemonsqueezy.com/billing (sign in with the email address used for the purchase), or through the “Manage or cancel subscription” link on the Licensing tab of the Software. A cancelled subscription stays active until the end of the period already paid for. Uninstalling the Software does not cancel a subscription.
5. Internet Connection: License activation and periodic license checks require an internet connection. Between checks, the Software continues to work offline for a limited grace period (currently 3 days).
6. When a License Ends: When the trial expires or your subscription ends, the CoordiPro commands stop working until a valid license is activated. Drawings you created, and annotations already placed in them, are not affected.

This EULA remains in effect until terminated. Your license automatically terminates, without notice, upon the earliest of the following:

1. Subscription Non-Renewal or Cancellation: Your right to use the Software under a subscription ends when the subscription is cancelled, lapses, or is not renewed, whether cancelled by you or by BoostWorkLab.
2. License Revocation: BoostWorkLab may revoke or deactivate a license key at any time in cases of suspected fraud, payment failure, chargeback, refund, or violation of the activation seat limit associated with your plan.
3. Material Breach: Any material breach of this EULA, including unauthorized reverse engineering, license key sharing outside your authorized seat count, or circumvention of license validation or of the trial period.

Upon termination, you must immediately cease all use of the Software, uninstall it from all workstations, and destroy any copies in your possession or control. Sections 4 (Warranty Disclaimer), 5 (Limitation of Liability), 6 (Intellectual Property & License Protection), and 13 (Disputes) shall survive termination of this EULA.

3. Professional Marine Engineering & Fabrication Disclaimer

1. Engineering Assistance Only: CoordiPro is designed exclusively as a computer-aided drafting (CAD) productivity and annotation utility for Autodesk® AutoCAD®. It does not replace professional naval architecture, structural FEA analysis, or certified marine engineering calculations.
2. Mandatory Independent Verification: The user retains full responsibility for verifying mathematical accuracy, scale orientation, layout viewport matrices, and drawing dimension units before using any generated annotations in shipyard fabrication.
3. No Safety-Critical Reliance: Under no circumstances shall the Software be used as the sole basis for safety-critical marine vessel construction, intact/damage stability assessments, or structural integrity certifications.

4. "AS IS" Warranty Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. BOOSTWORKLAB EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SYSTEM INTEGRATION, AND ACCURACY OF SPATIAL OR NUMERICAL DATA.

BoostWorkLab does not warrant that the functions contained in the Software will meet your specific business requirements, that the operation of the Software will be uninterrupted or error-free, or that software defects will be corrected immediately.

5. Limitation of Liability & Exclusion of Damages

1. Total Exclusion of Consequential Losses: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BOOSTWORKLAB, ITS PRINCIPALS, DEVELOPERS, EMPLOYEES, OR AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES WHATSOEVER.
2. Specific Maritime & Industrial Exclusions: THIS EXCLUSION SPECIFICALLY INCLUDES, WITHOUT LIMITATION, LOSS OF COMMERCIAL PROFITS, LOSS OF SHIPBUILDING OR OFFSHORE CONTRACTS, STEEL OR MATERIAL SCRAP COSTS, FABRICATION DEFECTS, STRUCTURAL REWORK EXPENSES, DRYDOCK OR SHIPYARD DELAY PENALTIES, VESSEL DOWNTIME, OR DATA LOSS, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR NEGLIGENCE), EVEN IF BOOSTWORKLAB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
3. Liability Super-Cap: In all circumstances, the maximum aggregate liability of BoostWorkLab arising out of or related to this EULA or the use of the Software shall be strictly limited to the actual net amount paid by you for the CoordiPro license in the twelve (12) months preceding the claim (which shall be zero dollars [$0.00 USD] if utilizing a free trial, evaluation, or promotional license).
4. Mandatory Law: Nothing in this EULA excludes or limits any liability that cannot be excluded or limited under applicable law.

6. Intellectual Property & License Protection

1. Ownership: BoostWorkLab retains all right, title, and interest in and to the Software, including all source code, algorithms, visual styles, UI assets, documentation, copyrights, patents, and trade secrets.
2. Restrictions: You shall not decompile, reverse engineer, disassemble, decrypt, bypass license token validation, or attempt to derive the source code or cryptographic mechanisms of the Software, except to the extent expressly permitted by applicable mandatory law.

7. Third-Party Trademarks & Non-Affiliation

Autodesk, AutoCAD, and the Autodesk logo are registered trademarks or trademarks of Autodesk, Inc., in the USA and other countries. CoordiPro is an independently developed add-on application. BoostWorkLab is not affiliated with, endorsed by, or sponsored by Autodesk, Inc.

8. Privacy & Data Minimization

CoordiPro works on your drawings locally. BoostWorkLab never inspects, collects, stores, or transmits drawing entity geometry, DWG files, or proprietary naval architectural models, and the Software contains no telemetry, analytics, or tracking. The Software connects to the internet only:

1. For licensing: to activate, check, and deactivate your license. It sends your license key and an anonymized hardware identifier (a salted SHA-384 hash created on your computer), used solely to enforce seat limits and prevent fraud.
2. When you send feedback: if you choose to submit the form on the Feedback tab, it sends the text you write, the reply-to email address if you provide one, and, only if you tick the diagnostics option, basic technical details (AutoCAD, Windows, and CoordiPro versions, license status, a masked license key, and an anonymized instance ID).

9. Export Control & Compliance

You agree to comply with all applicable national and international export control laws, economic sanctions, and trade regulations. You represent and warrant that you are not located in an embargoed country or listed on any government restricted-party list (including the U.S. Treasury OFAC SDN List).

10. Obtaining CoordiPro from the Autodesk App Store

If you obtained the Software from the Autodesk App Store:

1. Parties: This EULA is between you and BoostWorkLab only. Autodesk, Inc. is not a party to this EULA and is not responsible for the Software, its licensing, support, or maintenance.
2. Trial & Subscriptions: The Autodesk App Store listing provides the free 30-day trial. Paid subscriptions are not sold or billed by Autodesk; they are sold by BoostWorkLab through Lemon Squeezy as described in Section 2.
3. Support: Support for the Software is provided by BoostWorkLab at support@boostworklab.com.
4. Autodesk Terms: Your use of the Autodesk App Store is also subject to Autodesk's own terms. Where those terms must take precedence over this EULA, they do.

11. Amendments to this EULA

BoostWorkLab reserves the right to modify or update this EULA at any time. Revisions take effect upon being posted at this URL, with the "Last Revised" date above updated accordingly. Where reasonably practicable, material changes will also be communicated to active licensees by email, and the Software may ask you to accept the revised EULA before you continue using it. Your continued use of the Software after a revised EULA is posted constitutes acceptance of the updated terms; if you do not agree to a revision, you must stop using the Software and may cancel your subscription in accordance with Section 2.

12. Severability & Entire Agreement

If any provision of this EULA is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. This EULA, together with the Privacy Policy and, for copies obtained from the Autodesk App Store, the Autodesk terms referred to in Section 10, constitutes the entire agreement between you and BoostWorkLab concerning the Software and supersedes all prior representations, proposals, or understandings.

13. Disputes

If you have a problem with CoordiPro, please contact us first at support@boostworklab.com; we will try to resolve it informally within 30 days. Nothing in this EULA limits any rights you have under the mandatory consumer-protection laws of the country where you live.
